Project Overview

Frega is a watershed project that has the potential to substantially upset current markets. The requirement to reliably and consistently collect, collate and pay each user for their data, is a highly sought after, natural progression from the demand that drove open banking and data protection. Nobody until Frega has been able to crack this equation and put cash in the hand of the user. As stated, in its start-up phase Frega (through Right Trade) currently has $100,000,000 of user-generated data under management in 115 currencies, and it is now transitioning to its scale-up phase. When first registering to use any of the tools in the Frega ecosystem, users mandate Frega and Right Trade to act on their behalf to obtain, store and anonymously monetise their data for their optimum use of the platform and greatest financial benefit. Our matured business model and mathematically robust algorithms take care of revenue distributions to automatically remunerate users and cover all the costs of an expanding ecosystem, while also factoring in greater financial rewards to motivate merchants, affiliates, consultants and customers to be increasingly engaged. In accordance with GDPR regulations our users’ mandates not only instruct us to maximise their financial benefit from datapoints they create in the ecosystem, but ALSO give us the right to request copies of any and all data held by any company, pertaining to them. This includes blue chip retailers, parking companies, insurance firms, banks and even Amazon. The long-term implications run deep. Now that the cornerstones are fully bedded in and the business model is proven, Frega’s first go-to-market application to scale, is GrowthPoints (launching November 2023). This subscription-free service enables businesses to reward their customers with branded loyalty rewards. It seamlessly builds the business a customer database with unified communications to connect with them and airdrop discounts, promotions and special offers. This application is complete and currently going through testing for launch within days. Immediately after this, the righttrade.io interface will be programmed for completion by the end of Q1 2024. This is a frontend operation resulting from the decision to separate Frega (Data management) from Right Trade (Algorithms and finance). The righttrade.io screens are already graphically designed and the backend data continues to be operational. So, this is a matter of pulling through all the account data to a clean display for the individual user and the admin of Right Trade Ltd to display and interrogate the numbers globally. In Q1 of 2024, the communications tools used by GrowthPoints and across ALL applications on the platform will begin to be upgraded from web-based services with progressive app functionality to a native app in order to pull through smartphone contacts and facilitate notifications. We will expand our programming team to achieve this, and engaging Flutter programmers and UCaaS specialists for cross-platform development of these components. From Q2 of 2024 we will begin to request that parking companies and businesses for which our users own store cards or loyalty programs, to forward data that they collect on our users, to Frega. This will dramatically increase the value of the ecosystem and their share of the its distributed revenue. This will require an API developer and administrators to seamlessly integrate the data collection and management. On launching the Park4less application in the second quarter of 2024, users will enter their car registration into the app, and parking companies will be requested to share data-feeds each time a vehicle registered through Park4less enters any of their carparks. Also in Q2 of 2024, the existing Consultant dashboards will be substantially updated based on feedback from the first quarter. The Right Trade algorithms allow for 1 in 50 users to be remunerated as Consultants according to their workload, leading to many thousands of jobs as the ecosystem expands internationally. Quarter 2 of 2024 will also see the number of programmers increase again to facilitate the completion of several more applications and services. These include: BeSorted - A Scheduling and Booking service ColoudBooks - Automated Bookkeeping AiPa – An AI Personal Assistant MyView - The Frega Browser WebsitePlus – Unified Communications for any website And a suite of ‘4less’ services including Storage4less, Phone4less, Shop4less, Insure4less, energy4less and so on. All of these paid and free services increase the amount of time and engagement invested in an ecosystem that supports its users while simultaneously subtracting from the amount invested in the old, slave and master Web2 world of Google, Facebook and the like. We are confident that with sufficient funds and two years of consistent programming, we can delive a powerful suite of tools that will supersede 90% of those currently being used. It is therefore in our interest to acquire quality programmers as rapidly as practical in the first half of 2024 to methodically build the interlocking services that we already know are needed.

Executive Summary

Continuing from the Challenge and Solution above, the Frega project is both a for-profit and humanitarian project. The proposal is to provide funding to build on and accelerate the growth and positive impact of a unique business model with the ability to create tremendous wealth-transfer and tens of thousands of jobs as it scales around the World. The funding is to cover the purchase of a pair of conjoined SaaS (Software as a Service) companies as they deploy and scale software that runs on their platform, and to finance the rapid development and completion of a further suite of interconnected applications that also run on the platform and are already in the pipeline. Frega’s methodology and mathematics are the brain-child of mathematician and lawyer Mr Paddy Delaney. He and his core team previously built a physical data management and storage company from the ground up and sold it to a multinational as the second largest in South Africa, some 20 years ago. Frega (an acronym for Freedom Global Abundance) has evolved to maturity over a number of years. Now, in order to scale correctly from a regulatory standpoint, it has divided into two companies to separate Data Management and Data Protection compliance, from Financial Management & Security obligations. This requires backend and frontend reprogramming, with a new user interface for each component. The remodelling is currently in progress, with both Frega.co.uk and RightTrade.io front-ends, under construction. Frega Ltd is the user’s Guardian, storing and managing user’s data on their behalf and ensuring it is only used as mandated. And Right Trade ltd, compiles and maintains an asset register of the data and monetises it for the user by applying the proprietary algorithms responsible for the valuation and distribution of funds. Neither Frega, nor Right Trade owns or monetises user-generated data for either company’s benefit. Their revenue is purely derived from a marginal fee in exchange for providing the service. The mechanics and mathematics of this pair of companies is fully operational despite our redeveloping their interfaces and currently $100 million of user-generated data is under management with tens of thousands of revenue splits taking place every day, across 182 countries and in 115 currencies. This is before scaling which will begin in Q1 of 2024 and is expected to increase Data Under Management to $1 trillion by 2028. The rapid acceleration in wealth-transfer will initially be triggered by the release and roll-out of GrowthPoint loyalty rewards and then associated applications in multiple countries, starting with the UK, South Africa, New Zealand, Australia, America and the Philippines, where we have active Members, Consultants and ‘Drivers’, who drive initiatives in exchange for a, larger share of the distributed revenues, pre-programmed into the proprietary algorithms. Year two funding will facilitate targeted acquisitions of applications or businesses with large user-numbers, which will likely accelerate growth well beyond projected figures. Like WeChat, Frega is a multi-faceted platform with a growing number of software tools and applications, all accessed through one registration. But unlike WeChat, these all contribute to the financial benefit of the user. The GrowthPoint loyalty reward application is the spearhead of our zero-cost client acquisition processes. Merchants choose to use this subscription-free service to reward their customers and automatically build a customer list or database. Customers accept their merchant’s branded rewards without needing to know anything about Frega or Right Trade which power the service. Park4less is another spearhead app to be released in the second quarter of 2024, for shoppers to receive a contribution towards their parking and other driving expenses in exchange for doing business with shops and businesses promoted to them via the app. These two applications, when taken up by individual businesses, shopping centres, parking companies and local authorities will lead to explosive growth in users-numbers internationally, at no cost to Frega or Right Trade, because every one of them has hundreds, thousands or tens of thousands of clients and a proportion of these will go on to discover ever-more about the ecosystem. Users who investigate or click ‘Help’ and pair up with a free Consultant, will discover a growing library of applications with free and paid services, all of which contribute to the user’s revenue-share and strengthen the umbilical connection between them and Frega. Frega’s business model has been developed, perfected and programmed by a small, dedicated core team with contributions from 12,270 shareholders to get all the building blocks in place. It is now time to approach the market to fund the sale of Frega and Right Trade with mandates and algorithms in place, and release funds for the rapid completion, programming and deployment of some 20 core applications, all of which interconnect to provide the maximum number of seamlessly beneficial services to the user. To this end, we have appointed KBS Corporate http://www.kbscorporate.com to assist with documentation, sale and legal requirements, and their estimated current valuation of Right Trade and Frega is £100m ($125 million) based on our proven and successful model, addressable market and projected value of data under management. Assuming just 2% penetration of the market in 5 years, $1 trillion under management in 2028 will yield a predetermined EBITDA of $84,000,000 to the new owners, in that year alone. In this unique collateralisation situation however, with contributors to the project receiving an up-front 20% discretionary payment, we believe 50% of the EBITDA should go to our humanitarian projects. As explained, Frega and Right Trade’s purpose is wealth transfer from the few to the many and one of the built-in mechanisms is an automated 10% tithing of revenues received by users, who must allocate a humanitarian cause to receive the funds. Our first humanitarian cause is Hashtag Humanity in South Africa, committed to helping disenfranchised men, women and children, including orphaned infants with HIV in Lesotho. By splitting the EBITDA 50:50 between contributors and humanitarian projects, we can add tens of millions of dollars a year to worthy causes. This ability to reward investors handsomely but still do more for those in need is a major reason we are keen to seek funds here rather than conventional private equity.
