Project Overview

To whom it may concern: The following is a breakdown of how the $100 Million will be used for the benefit of humanity. Really? Yes! WHY? What actually defines a “humanitarian project”? It is to 1. save lives and to alleviate suffering regardless of race, class, politics, ethnicity or any other identifying factors. 2. It is to relieve human suffering. 3. The Learboat uses no gas and therefore has no smell, no noise and does not pollute. 4. It is impartial: any man, woman or child can use this boat. 5. It can be used by any political, racial, religious or ideologically controversial group. 6. Political, economic or military objectives do not influence the usage of the Learboat for any part of the population. Does it really benefit mankind??? Oh yes! Why? Are you ready??? Because it has a central table around which the passengers are obliged to sit face to face. So they are obliged to … TALK TO EACH OTHER. To share, to dig deeper, to laugh, to cry, to explore each other’s world and to LEARN. As they are enjoying the quiet peace and gentle movement of the Learboat, they are relaxed by the environment and have a sense of well-being. This state of mind allows the guests to feel safe and very often to open up to their fellow passengers. Very often business deals are successfully concluded because the other guy can’t get out of the boat to “take that call”. That person HAS TO GIVE his/her UNDIVIDED ATTENTION to the other person. Because the boat has an electric motor, it doesn’t pollute the waterway and is quiet. Because it has a “head” (toilet) with privacy curtains and a top-loading refrigerator-table filled with drinks and food, the time spent on the Learboat can be uninterrupted. No need to interrupt the conversation to stop to buy food and drinks or use the public restrooms at a commercial venue. Because of the gentle imperceptible movement of the boat, the passengers instantly feel relaxed and happy. Many ask, as we return to the dock… “Couldn’t I just stay here and sleep overnight?” 😊 With all the stress and strain that is going on in our world, this is a haven of peace. The fleets of Learboats at marinas will allow people with limited funds to experience this quiet pleasure without needing to spend what would need to be spent in purchasing a Learboat, renting a dock and paying for monthly boat maintenance (clearing the hull of sea life that like to make the hull their home.) The rental will not be “free” because that encourages people to mistreat the boat. There must be respect for the Learboat. Many people have money from social security to use for this “rest therapy”. Because the boats are sold at a fixed price by the central sales office, there is no “negotiating” of the price. So no hard feelings or haggling where somebody loses. There are no “dealers” who purchase the Learboat at a 30% discount and no sales men on commission who, just to make the sale, will go waaay down on the price just so that they get the “sale” AND their commission. The seller receives $10,000 for his/her “old” boat which is photographed in its present condition and then put up for auction online. The buyer of the old boat is then required to get the boat off the new Learboat owner’s dock and take it away.* (*One of the big headaches of selling boats is what to do with the used boats! The fiberglass pollutes so the other solutions are to strip the boat of all electronics etc. etc. and use the stripped down hull fill it with top-grade soil and use it to grow flowers or fruit in areas that have limited water. The remaining fiberglass can be ground down and added to cement for building materials. Our oceans are already filled with plastic, LearboatsUSA will not add to THAT problem!) People who rent the Learboat are thanked in advance for cleaning up after themselves as their contribution to keeping the rental price so low. If more people had to be hired to clean up the boats because of thoughtless renters, then the price of the rental would go up and fewer people would have the ability to experience the pleasure of the Learboat. (In the rental agreement, if alcohol is brought on to the Learboat, $5000 will be automatically added to their credit card if damage occurs due to alcohol consumption.) LearboatsUSA will also manufacture PermadocksTM. These Permadocks will provide the rental fleets docks and attendant’s kiosks as well as ramps leading down to the rental fleet boats and their electrical hook-ups at resorts and at the homes of the individual Learboat owners. ------------------------------------------------------------------- It is estimated that worldwide there is a market for 54,893 (estimated) Learboats. The analysis is on an attached Excel spreadsheet with pictures and estimated numbers of boats that can be sold worldwide. Because of the longevity of the Learboat, at least 50 years of problem free usage, (the retractable hardtop prevents UV damage to the interior), no calculation has been made to purchase older Learboats and provide new ones. However, as I mentioned above, there is a great plan for what to do about older boats of the new Learboat owners that need to be removed from their docks. (See Tranche Seven for more details about this plan.) We are attaching an Excell spreadsheet, that was developed in 2012, that analyses the costs and profit for making only 4800 Learboats, at the cost of $51,000 per boat, using only $12,500,000. (Today in 2024, it is estimated that the cost of making a Learboat will be $70,400 and the sale price will be $107,000.) In order to provide 54,893 boats in the next ten years, it is estimated that the company will take in $5,873,551,000 (almost Six Billion Dollars!). For that many boats you would need $3,864,467,200 to make them. (And we know that with the devaluation of the dollar, that cost is going to go up.) The income from direct sales to the customer at $110,000 (retail price)….since we will not have dealers… so there will be no 30% dealer discount that would take away from our profits. So the income from sales is estimated to be $2,009,084,000. With those kinds of profits, it is very easy to understand why the company would be placing rental fleets at certain venues like Buddha’s birth place probably for a very low price. When you give away things for FREE … people do not value them and don’t treat them with respect and keep them in good running order! IMHO With $100,000,000. The number of boats that can be produced is 1420. (Included in the cost of making the boats is also the cost of marketing the boats, boat shows, advertising, and product placement in movies. Obviously the sale of these boats will bring huge income into the company, of course. These calculations have only been to show what can be done with $100 Million for this humanitarian project. With these earnings, because the corporation is an “S” corporation 40% of the earnings can be given back to the investors (The humanitarian fund) or $6,429,068,000. The Humanitarian fund is offering $100,000,000 to bless others at the end of the year. It is the desire of LearboatsUSA to return that amount, with interest, in the next ten years. (To be discussed.) The other 60% of the earnings ($9,999,999,200) is put back into the company to run the company which has projected the development of new products like the hydrofoil Learboat with the underwater-obstacle protection invented by Terry Baylor. This boat would allow up to six harbor patrol people go silently around the waterways to make sure that all is well and all the safety measures are being obeyed. The hydrofoil feature would allow these safety people to be able to get quickly from one part of the waterway to the other… or to rush to save someone. It can also be used by fishermen to get quickly to the spot where the fish are biting. This “fishing” boat will have storage for the “catch”. With world-wide marketing and advertising, plus boat shows and product placement, this is all possible. It requires having hundreds of Learboats ready for sale, BEFORE the advertising and marketing begins, so that the customers are not kept waiting. For this reason, a huge storage facility will be required. Since the top is retractable these boats can be slid onto “Learboat ready” storage shelves that are eight to ten boats high. High powered forklifts will be able to put them up in place. (The heavy batteries will only be added to the boats at the time of shipment). By having the boats stored and ready for shipment, the customer can tell the sales office what color graphics and cushions he/she wants and all the other modifications he/she would like made. Like adding a microwave oven or adding underwater lights. Our team understand all the ins and outs of the Learboat and that makes adding any modifications headache free. So evaluating the different parts of the company and the money needed to be spent of the $100,000,000, I am dividing the money in tranches of $12.5 million. With the First Tranche and Second Tranche we would purchase land in Southern California. On this land we would build two buildings with high ceilings. The building Number ONE would be for manufacture of all of the 29 parts that go into making the Learboat. (It is possible that we will be 3-D printing these parts and will use a material that is EQMD permitted for California.) The other building would be for making the cushions, carpet and ceiling liner for the Learboat as well as a booth to do all the teak varnishing and a dust-free area for assembling the electronics and the wiring looms. In addition, there would be an area for making the EZ2CY windows with their “ball cords”. The offices for the company would be in this building as well as a cafeteria and rest area. Also a large water testing pool will be added to the property where the boats will be tested there for seaworthiness. In the rest of the acreage, we will have the high racks to store the Learboats. The Third Tranche will fund the production of the master plugs for the Learboat and 12 sets of production molds. Included in this Tranche will be the costs to move key people and their families to local housing near the location of where the boats will be built. These key people have the “tribal knowledge” of how the boat is built and how the electronics are manufactured. They will also train the additional crew at that time. These funds will allow us to have all the key players living locally and therefore to minimize logistic problems. Fourth Tranche As soon as these molds are ready, production will begin and the 500 boats, ready for sale, will be stored until the “launch”. The Fifth Tranche will be for contracting and setting up rental fleet locations and paying for the leasing of waterfront space in front of prestigious hotels and at High-end Marinas. We estimate at least 20 – 25 locations around the USA and the world. These funds will also pay for the manufacturing of the rental fleet boats and shipping them to the locations and setting up the Permadocks and electrical system for charging the fleet boats. Also included will be bringing the people who will be managing the rental fleets and maintaining them to our main location for training. Obviously all this means we will be able to hire many, many qualified people and… train newcomers to the business. We will literally need “all hands on deck”! We estimate we will have from 500 to 1000 workers. The Sixth Tranche is for the manufacture of Permadocks with their ramps, wiring and kiosks for the rental fleets and Permadock for the Learboat buyer’s homes. These Permadocks are made of a material that does not degrade and will be a welcome addition to the waterfront homes of the new Learboat owners whose docks are old and falling apart. Seventh Tranche Often when selling Learboats, the buyer wants to get rid of his/her old boat. As mentioned before, we will give them $10,000 for that boat, no matter how much it is worth, and then put the boat up for international online auction. The money from the highest bidder will go directly to the “pink slip” owner of the boat and…and… the bidder, who won the auction, will have to remove the purchased boat from the dock …thus paving (so to speak) the way for the arrival of the Learboat. This is extremely cost effective because it prevents the Learboat company from having to store these old boats, repair them and try to sell them. (Obviously, this IF the new Learboat owner would like us to find a new home for the owner’s old boat.) Eighth Tranche Publicity, boat shows, international travel to boat shows. Public relations, photography, video production. Oh yes, and good old fashioned advertising in … are you ready???... in lifestyle magazines! Yes. Because to a “boater” this is NOT a B.O.A.T. It doesn’t go F.A.S.T. so it doesn’t qualify for the boating magazine crowds. Believe it or not… that is the truth. 😊 That is how the $100,000,000 will be used over the first three to four years. The income from the profits is estimated at $6,429,068,000. Remember 40% goes to the stock holders and 60% goes back into the company to build more great vehicles for humanity to bless them and make them nod and smile with appreciation. The Humanitarian Fund will own 40% of the company. Respectfully submitted, Shanda Lear-Baylor CEO Lear Baylor Inc. DBA Learboats USA PS: Additional Learboats can be: 1. Quiet “pump out” boats where the Learboat is fitted with holding tanks for grey water and black water and also space for boat maintenance equipment. 2. Soft top Learboats boats (that are able to be retrofitted with the retractable hard-top whenever the customer wants it added to their boat. (That is a selling feature so that the customer can evaluate what is the wisest use of his/her money.) 3. Hydrofoil Learboats for stealth operations, and Harbor patrol 4. Hydrofoil Learboats for fishermen with refrigerated tanks for their catch.

Executive Summary

LEARBOATS USA. Few companies can reach a level of excellence that none can surpass. These corporations are home to innovators of highly coveted products and services, and are constantly improving upon their own ideas. Those of such high levels of distinction maintain a standard of excellence for themselves, and continually imagine new products and services that customers desire. A name that has reached that level of superiority is LEAR, whose name reflects nothing but positive images in the field of innovation and luxury. The name originates from William P. Lear (Bill Lear) whose visionary products include over 110 patents including the automobile radio (Motorola), the ADF Automatic Direction Finder, the Automatic Pilot, the Automatic Landing System, the Learjet and the LearStar which became the eighteen passenger Regional Jet which now is produced by Bombardier. Bill Lear’s business model : “Planned Longevity” – “Built to last”. Terry Baylor, a renowned creative problem solver has not only been a boat builder of over 180 sailboats and yachts but has been an industrial pattern maker and tooling specialist for forty years including tooling and design for aerospace NASA (building the drop-launch and underwater testing models of the X40 un-manned space shuttle), Rockwell (designing ergonomically comfortable cockpits for their airplanes), Universal Studios (the shark that jumps out of the water to scare you when you tour the studio on the tram), Warner Brothers Studios, Metro-Goldwyn-Mayer (the robot costumes for the movie Ice Pirates), as well as Disneyland and built all the novelty attractions of TOONTOWN and the Disneyland Orlando Splash Mountain. In 1995, Terry Baylor, whose business was in Santa Ana California, was asked to manufacture the hulls and decks for a local electric boat building company, who, because of Air Quality Control Zoning issues, was no longer able to manufacture their fiberglass boats in Costa Mesa, California. Terry Baylor realized, at that time, that there was a need to improve on the basic design of electric boats. He set out to design an electric boat that was safer, that could run (at 5MPH) for ten hours instead of six, that was not tippy – unstable- so that people would not get hurt, that had a swim-step with a ladder (so that people could get back in the boat if they fell overboard.) He felt the boat should also have corrosion proof electrical connectors and high quality wiring (Military grade) to prevent electrical fires! A fiberglass roof that didn’t need to be replaced every three or four years to the tune of three to four thousand dollars (!) … and most of all, it had to be a boat that was more comfortable, with more leg-room and with a bow low enough so that you could see where you are going without having to stand or having to have the steering be on the side of the boat. Terry Baylor wanted to design a boat that he would be happy to have. One that you can count on to operate when you want to go out and enjoy your time on the water… His business model has always been “Planned Longevity”. As a life-long sailor and private pilot, Terry Baylor knows that when you get in your boat or airplane you not only want it to work but you want to be able to get home safely! At that time, Terry Baylor met Shanda Lear, the daughter of inventor, entrepreneur Bill Lear. When Terry Baylor showed Shanda Lear the boat he was building, Shanda asked if Terry could make the top go down. When asked why, she said, "Because if the top went down, when I went swimming with my kids, my purse would be safe." Realizing the value of that idea, Terry Baylor then envisioned that he could add a sliding aft-hatch over the driver’s seat, so that you could drive the boat with the top down! And THAT was the day the idea for the LEARBOAT was conceived. Shanda Lear, Bill Lear’s daughter, as a teenager, introduced the 4-track stereo tape player to her father and insisted that he put it in the Learjet. It became the Learjet 8-track stereo. As a young mother, she realized that the multi-national infant formula companies paid for neonatal doctors education in medical schools where the curriculum, regarding breastfeeding, was designed by the infant formula companies to promote their products. The curriculum promoted obligatory hospital policies and had insurance companies demand also that these practices be obligatory ie. suctioning the baby’s mouth at birth. This causes “oral aversion” in infants. This scares the infant from allowing anything else into their mouths and they suck in their lips to prevent further trauma. This prevents them from latching onto the breast’s areola properly. When there is no suctioning, the baby naturally accepts into its mouth the nipple AND areola. It is the baby’s swallowing motion of the tongue that compresses the areola and thereby “cues” the breast to start and continue to produce milk as long as the baby is allowed to go to the breast for either nourishment or comfort. Shanda, a published author and motivational speaker and teacher, helped to write hospital protocols and counseled mothers and taught hospital staff for twenty years. At the time, she lived in Switzerland and was the President of the non-profit organization La Leche League for Italy and Switzerland. Because of her tireless efforts, today 97% of all babies in Switzerland today are breastfed! When she returned to the USA, she wrote and produced an animated 11 minute musical rap called Breastfeed Ya’ Baby that you can see on YouTube to educate inner-city teen-agers about breastfeeding. In addition, she inspires young people to believe that they, too, can be creative problem solvers, with the motivational talk she produced and presents to audiences all over the USA called “The Secrets to the Success of Moya and Bill Lear and the Learjet” and the accompanying workshop “The Learjet Ride to Success” which helps young people define their Mission Statement: what really sets their heart on fire…. that they really want to do… to bring good to this world. Shanda Lear’s Mission Statement is “To bring comfort and cheer to those who want to listen.” When asked what Learboats have to do with that Mission Statement, she replies “providing Learboats to people to enjoy gives them an experience of comfort and luxury: from the ergonomic lumbar-support seating, to having a boat that is easy to steer and having everything easy to use and maintain. The gentle rocking subliminally reminds one of being back in the womb and creates a sense of safety and relaxation, the lack of smell and the lack of noise are surprising, refreshing… and comforting. In addition… not having to put on or take off a heavy cover, and… not having to pay for gas is definitely a reason to be cheerful!” But wait there’s more! Because the Learboat, with its retractable hardtop is trailerable and has a porta-potty with privacy curtains, a sink and hookups for a microwave and can even have a barbecue and a shower on the swim-step, the Learboat can qualify for a mortgage as a second home and can be used to travel around the country to different out of doors destinations. So you can park it in front of your garage and take it anywhere… even load it on a ship and take it to far off countries! By 2006, the Learboat, with the retractable hardtop, was ready to be introduced to the market. The first boat was sold to Destin Florida, and because of the retractable hardtop, it rode out the hurricane Katrina without any damage! In two years, the Learboat’s experienced crew of boatbuilders, with only one set of boat molds, turned out 44 Learboats which were sold as fast as they could be produced! When the 2008 recession hit, Shanda Lear and Terry Baylor decided to put production of new Learboats on hold because, at that time, 75% of all boat building businesses went bankrupt because people did not have the disposable income to buy luxuries. The Learboat company reluctantly had to lay-off their employees, who fortunately found jobs in other industries. The company maintained their R&D shop in Garden Grove, California and have been able to give part-time work to their key people on weekends and evenings to support customers and to refurbish pre-owned Learboats to like-new quality. In addition, the company has been able to supply specially designed products to other companies and even recently to the new Shanghai Disneyland Amusement Park. Recent statistics claim that 136 electric boats with surrey tops have been sold to waterfront homeowners on the West Coast of the United States per mile of water way! In hurricane prone waterways, the old time surrey topped electric boats have not been popular because the wind will rip off the surrey tops. In Florida, alone, there are 750 miles of 5MPH speed limit waterways with luxury homes on the water with an older population who are not eager to put on and take off a heavy cover. It is estimated that the market in Florida alone is for over 102,000 Learboats! The future market is huge when you look at the rest of the United States with all the housing developments on artificial lakes with 5MPH speed limits. Add to that, Europe with its canals and lakes that are going all-electric by 2025, the real estate developments of homes on the water in the Caribbean, the Arab Emirates and their waterfront homes on artificially created lakes in the desert (!) and the Gold Coast of Australia which has the same type of real estate as in Florida… and you have many, many more potential sales for Learboats. So, today, LEARBOATS USA is eager to start the mass-production of LEARBOATS for the worldwide market. For information about investment opportunities with LEARBOATS USA, email info@learboats.com.
