Executive Summary

I. Executive Summary Business Overview The Future Shopping Mall “The Future Of The Shopping Mall Is Not About Shopping” - Jon Bird, Forbes Magazine, June 2018 There is a market for "a family shopping and entertainment concept mall" that goes beyond the antiquated and passive relic that no longer support consumer needs. Built around sensational entertainment, food, hospitality, and education are the components of an indoor vertical farm growing organic vegetables and fruits 24/7 impervious to weather and seasonal conditions; recirculating aquaculture system (RAS) of tanks producing top quality seafood, a nutritional supplement division to produce the finest nutraceutical, nootropics, and botanicals; a bottled water division producing vitamin and mineral enriched water; world class restaurants from full service to casual dining to smoothie bars; and a state of the art supermarket carrying the finest organic and non-GMO foods from around the world. This futuristic mall called "The Agroplex X" will be fully integrated with online and offline platforms with interactive touch screen walled displays, AI-infused walkways, eye-scanners that personalize a consumer’s visit. Stores will be stages, delivering “classroom retail” – showcasing the makers and processes behind products and brands. There’s also an engaging digitally immersive museum that promotes sustainability education and learning for K1-12, university students, residents, and tourists; a 10 screen cinema multiplex and multi-theater complex designed by a world-class architect, showcasing box office hits, music performances and off Broadway shows. And complimented by a world-class spa and wellness center. A consumer could browse in-store, purchase the product and arrange for delivery of the product directly to their home. The consumer could then continue shopping, watch a movie or have a meal in the mall without having to carry bulky shopping bags. The retailer, on the other hand, could save on storage space in the store, as fulfillment would be done at the backend of the warehouse. The shopping center shall have manned registers that accept the Agroplex X mobile payment service and delivery services that use company’s shipment network. This futuristic shopping mall shall produce and distribute its own water via atmospheric extraction generators technology; recycles its waste back into reusable energy via waste remediation systems; and produces its own energy via advanced energy systems, e.g., solar, wind turbine systems, and self-regulating electric generators; all islanded on a microgrid – a network of distributed energy resources which will improve electrical grid resiliency and efficiency. These will be seamlessly integrated into Blockchain Technology supply chain logistics enabling end-to-end transparency and traceability across the global food system to share information rapidly and with confidence across a strong trusted network thereby optimizing trading and business relationships. Success Factors Domiciled as an LLC, Agroplex X Mall Middlesex Enterprises, LLC (AME) is uniquely qualified to succeed due to the following reasons: • Guaranteed Sales will be gorilla marketing of sending out 2.5 million VISA branded credit cards and expecting a 10% response in the first year based on a customized, measurable card-linked loyalty campaign to incentivize spending behavior in the categories we offer our B2B and B2C customers. The compelling value proposition able to propel this new business model to scale up customers and create a lasting competitive advantage is bundling equity and cryptocurrency ownership equal to the face value of the customer's visa card credit line of $20,000 that, once activated, guarantees revolving annual subscriptions to the Agroplex X Subsidiaries Programs. • Subscription Service Program – The Company will promote customer spending and build customer loyalty by its subscription service of purchase and delivery of goods via its ecommerce platform to its B2B and B2C customers similar to Amazon.com. The subscription model is a booming field. In recent years, this market has grown by more than 100% a year, increasing from $57 million in sales in 2011 to $2.6 billion in 2016, according to experts. • Pay It Forward Program – Businesses and residents would want to become subscribing B2B and B2C members because of cash back earnings and equity participation where they receive stock ownership matching part of their credit card line of credit absolving them of this debt from a future IPO and ICO execution, thereby promoting economic sustainability. • Innovative, Quality, & Safe Products – Given the fact that the majority of our target audience in the local, regional, and tertiary markets are Baby Boomers and Millennial consumers, most of our marketing and advertising campaign would be tailored more for these generations with the largest buying power of $2 trillion and $125B a year, respectively in spending. Furthermore, given the rise in healthcare expenditure in the amount of over $4 trillion, Baby Boomers are more concerned about their health and eating habits, thereby making the products and services showcased by this futuristic mall a perfect solution. • Blockchain Technology – The key to success is further secured by sustainable supply chain optimization and smart contracts – digitalized agreements enable the storage, verification and fulfillment of certain contractual rules. That can be established and maintained by Blockchain Technology (BT), which is nothing less than transformational applications in supply chain management. The technology can deliver system-wide visibility across supply chains enabling companies to meet the transparency, traceability, accountability and efficiency imperatives required for competitiveness. • Shopping Mall Consultants – Further key to success is employing the expertise services of Mall Consultants Ltd., an international agency delivering pre & post opening operational management set-up and launch support, Placemaking strategy, Brand development, marketing and Mall Masterclass training to the retail property industry. They operate throughout EMEA, the Far East and Asia. (https://www.mallconsultants.uk) Mall of the Future The guide to transform shopping malls and centers into Consumer Engagement Spaces (CES) is based upon rising consumer demand for more things to do, rather than things to buy and own, according to Pamela N. Danziger of Forbes Magazine.1 The CES of the future will include retail stores, though often in smaller formats with less reliance on inventory and more focus on creating personalized brand experiences through virtual reality, augmented reality and/or mixed reality where consumers can customize their unique shopping and product experiences. Limited duration pop-up shops will also be important to the new CES centers, as they give visitors and guests unexpected treasure-hunting experiences and importantly provide a test platform for new retail concepts and brands. CES must also be designed around convenience, since time is the consumers’ ultimate luxury. Yet the CES must also offer compelling ways for people to spend time, their most valuable resource, by providing experiences and things to see and do that will reward their investment of time. Financial Plan The Company requires an investment or loan of US$600M and expects to grow at an annual rate of 6.33% +/- after the first year of operations, with plans to execute an initial public offering (IPO) and an initial cryptocurrency offering (ICO) as an exit strategy following the fifth year of operations. The Company is a start up, completely debt free, showing enormous potential profitability, and requires capitalization to deploy its project and satisfy supply demands in the shopping mall real estate industry.
